Further, the said rules will be known as Companies (Corporate Social Responsibility Policy) Amendment Rules 2021.\u00a0 Also, these rules will come into force from the date of its publication in the Official Gazette, i.e., 22.01.2021.<\/p>\n\n\n\n<p>In this blog, we will discuss in detail\nabout the Companies (CSR Policy) Amendment Rules 2021 notified by MCA.<\/p>\n\n\n\n<div id=\"Concept_of_Corporate_Social_Responsibility\"><\/span>Concept of Corporate Social Responsibility<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>The term CSR or Corporate Social\nResponsibility denotes a self-regulating business model that assists a company\nin becoming socially accountable towards its stakeholders and the general\npublic. The main aim behind the implementation of CSR policy was to make\ncompanies responsible for enhancing the environment and society, instead of\ncontributing negatively towards them.<\/p>\n\n\n\n<p>Further, section 135 of the Companies\nAct 2013 governs the activities undertaken by companies as CSR. Also, it shall\nbe relevant to take into the record that the provisions of CSR are based on the\nglobally accepted concept of COREX. The term COREX stands for Comply or\nExplain.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Reasons_to_Make_Amendments_in_Companies_Corporate_Social_Responsibility_Policy_Rules_2014\"><\/span>Reasons to Make Amendments in Companies (Corporate Social\nResponsibility Policy) Rules 2014<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>The main reason for making amendments in\nCompanies (Corporate Social Responsibility Policy) Rules 2014 are as follows:<\/p>\n\n\n\n<ul><li>To\nInfuse more Transparency; and <\/li><li>To\nIncrease Accountability;<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Key_Provisions_of_Companies_CSR_Policy_Amendment_Rules_2021\"><\/span>Key Provisions of Companies (CSR Policy) Amendment Rules\n2021<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>The\nkey provisions of the Companies (CSR Policy) Amendment Rules 2021 are as\nfollows:<\/p>\n\n\n\n<ul><li>Rule 2: Definitions;<\/li><li>Rule 4: CSR\nImplementation;<\/li><li>Rule 5: CSR Committees;<\/li><li>Rule 7: CSR\nExpenditure;<\/li><li>Rule 8: CSR Reporting;<\/li><li>Rule 9: Website\nDisclosure;<\/li><li>Rule 10: Transfer of\nUnspent CSR<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Summary_of_Changes_made_in_Companies_CSR_Policy_Amendment_Rules_2021\"><\/span>Summary of Changes made in Companies (CSR Policy)\nAmendment Rules 2021<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>The summary of the changes made in\nCompanies (CSR Policy) Amendment Rules 2021 are as follows:<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Compulsory_Registration_of_CSR_Entity\"><\/span>Compulsory Registration of CSR Entity<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>As per the amended laws, from the\n01.04.2021 onwards, every business entity or company that intends to undertake\nany CSR Activity will need to register itself with the CG or Central\nGovernment. The same can be done by filing form CSR 1 with the ROC (Registrar\nor Companies). <\/p>\n\n\n\n<p>However, it shall be significant to\nstate that in case a company is undertaking a new CSR project form 01.04.2021,\nthen, in that case, form CSR 1 will need to be first signed and verified by a\nPracticing CA, CS or Cost Accountant in practice prior to its submission. <\/p>\n\n\n\n<p>Further, after submitting the form\nonline on the official website, a unique CSR Registration Number will be generated\nautomatically, which will assist the companies in identifying the entities that\nare engaged in CSR activities on behalf of other companies. The same will\nenhance the level of transparency as well.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Involvement_of_International_Organizations_for_CSR_Designing\"><\/span>Involvement of International Organizations for CSR Designing\n<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>As\nper the sub rule (3) of Rule (4) of the Companies (CSR Policy) Amendment Rules\n2021, a company or the business entity has the power to appoint international\norganisations for designing, monitoring, and evaluation of the CSR programmes\nand projects. Also, it shall be relevant to record that a company can take\nassistance from international organisations in building its own CSR personnel.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Collaboration_with_Other_Companies_for_undertaking_CSR_Programmes\"><\/span>Collaboration with Other Companies for undertaking CSR\nProgrammes<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>As per sub\nrule (4) of Rule (4) of the Companies (CSR Policy) Amendment Rules 2021, a\ncompany or a business entity has the power to collaborate with other companies\nfor undertaking CSR programmes and projects. However, it shall be taken into\ndue consideration that the decided collaboration must be done in such a way\nthat CSR Committees of the involved companies are in a position to separately\nfile reports on such programmes or projects. Also, such a report must be in\naccordance with the rules passed.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Certification_by_Chief_Financial_Officer\"><\/span>Certification by Chief Financial Officer<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>Based on sub rule (4) of Rule (4) of the Companies (CSR Policy) Amendment Rules 2021, it is mandatory for the board of a company, whether it is a private limited company or <span style=\"color: #0000ff;\"><strong><a style=\"color: #0000ff;\" href=\"https:\/\/swaritadvisors.com\/public-limited-company-registration\">public limited company<\/a><\/strong><\/span>, to obtain a Certificate from the Chief Financial Officer, stating that the funds of CSR has been utilised only for the purposes and activities approved.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Formulation_of_the_Annual_Action_Plan\"><\/span>Formulation of the Annual Action Plan<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>According\nto Rule (5) of the Companies (CSR Policy) Amendment Rules 2021, it is the duty\nof the CSR Committee of the company to formulate and recommend to the BOD\n(Board of Directors) an annual action plan in consonance to the CSR Policy. The\nsaid policy must include the following details:<\/p>\n\n\n\n<ul><li>A complete list of the\napproved CSR Programmes and project, based on schedule VII;<\/li><li>The manner of executing\nsuch CSR projects or programmes;<\/li><li>The modes of utilising\nfunds and implementation of schedules for the programmes or projects;<\/li><li>The monitoring and\nreporting mechanism for the CSR projects;<\/li><li>All the details\nconcerning the need and impact of the projects undertaken by the company;<\/li><\/ul>\n\n\n\n<p>However,\nit shall be taken into due consideration that the Board of Directors has the\npower to alter or modify any of the decided plans at any time during the\nfinancial year. But the same will only be done after receiving the\nrecommendation from the CSR committee, which should be based on a reasonable\njustification as well.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Omission_of_Rule_6\"><\/span>Omission of Rule 6<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>It\nshall be significant to note that the Rule 6 of the Companies (Corporate Social\nResponsibility Policy) Rules 2014, has been completed omitted by the MCA in the\nCompanies (CSR Policy) Amendment Rules 2021. That means there is no rule named\nCSR Policy in the amended Regulation.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Setting_off_of_CSR_Expenses\"><\/span>Setting off of CSR Expenses<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>If in case a company wants to spend more\namount on CSR activities than decided under section 135 (5) of the Companies\nAct 2013, then, in that case, such an excess amount or funds used needs to be\nset off against the prerequisites mentioned under the said section. Also, it\nshall be pertinent to note that such an amount needs to set off within the next\nthree financial year, subject to the conditions as follows:<\/p>\n\n\n\n<ul><li>The\namount available for setoff must not include any surplus arising out of the CSR\nactivities;<\/li><li>The\nBoard of Directors must have passed resolution in that effect;<\/li><\/ul>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"CSR_on_Acquisition_or_Creation_of_Asset\"><\/span>CSR on Acquisition or Creation of Asset<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>If a company wants to spend CSR amount\non the acquisition or creation of a capital asset, the same will be possible in\nthe cases as follows:<\/p>\n\n\n\n<ul><li>If\na company having the CSR registration number has obtained either of the\nfollowing mentioned registrations and is working to achieve Charitable Objects:<\/li><li><span style=\"color: #0000ff;\"><strong><a style=\"color: #0000ff;\" href=\"https:\/\/swaritadvisors.com\/section-8-company-registration\">Section 8 Company Registration<\/a><\/strong><\/span>;<\/li><li>Trust\nRegistration; or<\/li><li>Society\nRegistration;<\/li><li>When\nthe beneficiaries of the CSR project are collective entities or self-help\ngroups;<\/li><li>A\nPublic Authority;<\/li><\/ul>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Impact_Assessment_of_CSR\"><\/span>Impact Assessment of CSR<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>As per clause (A) of the sub rule (3) of Rule 8 of the Companies (CSR Policy) Amendment Rules 2021, every Company, which is having an average CSR (<strong><a href=\"https:\/\/en.wikipedia.org\/wiki\/Corporate_social_responsibility\" class=\"text-primary\">Corporate Social Responsibility<\/a><\/strong>) Obligation of Rs 10 crores or more in accordance with section 135 (5) of the Companies Act 2013, needs to undertake an impact assessment by way of an independent agency of their CSR plans having an outlay of Rs 1 crore or more, also, which have completed not less than one year prior to undertaking impact study.<\/p>\n\n\n\n<p>Further, the report of Impact Assessment\nmust be placed prior to the Board of Director. The same must be annexed with\nthe annual report of Corporate Social Responsibility.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Display_of_CSR_Activities_on_Website\"><\/span>Display of CSR Activities on Website<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>It is\nmandatory and compulsory for the BOD (Board of Directors) of the company to\ndisclose the details as mentioned below on the official website:<\/p>\n\n\n\n<ul><li>Composition of the CSR\nCommittee;<\/li><li>CSR Plans and Policy approved\nby the BOD;<\/li><li>CSR Policy;<\/li><\/ul>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Transfer_of_Unused_CSR_Fund\"><\/span>Transfer of Unused CSR Fund<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>If in case any company fails to spend the full amount of the CSR Funds for any financial year, then, in that case, the remaining or unused CSR amount will be transferred by the company, both <span style=\"color: #0000ff;\"><strong><a style=\"color: #0000ff;\" href=\"https:\/\/swaritadvisors.com\/private-limited-company-registration\">private limited company<\/a><\/strong><\/span> and public limited company, to a fund specified by the government as per Schedule VII of the Act.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Conclusion\"><\/span>Conclusion<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>In a nutshell, Corporate Social Responsibility\ndenotes a self-regulating business model that is based on a globally accepted\nconcept named COREX. Further, section 135 of the Companies Act 2013, acts as\nthe regulatory force for all the CSR related issues. <\/p>\n\n\n\n<p>Also, recently, the MCA or Ministry of\nCorporate Affairs have amended some of the Companies (Corporate Social\nResponsibility Policy) Rules 2014, to infuse more transparency and increase the\nlevel of accountability of the companies towards the enhancement of environment\nand society.
