Hence, it is also called a Negotiated Takeover.<\/li><li><strong><em>Hostile Takeover<\/em><\/strong>: It&#8217;s a type of Business Takeover where an acquirer company doesn&#8217;t provide Target Company proposal to get its undertaking but unilaterally &amp; silently takes pains to gain control against the desires of the present management.<\/li><li><strong><em>Bailout Takeover<\/em><\/strong>: A Business Takeover of the economically weak company by profit-earning company to bail. Out of the earlier is known as a Bailout Takeover. There are some advantages of a profit-making company to take over a sick company. Hence, a Bailout Takeover takes place with the\nconsent of the Financial Banks and Institutions.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Procedure_of_Business_Takeover\"><\/span>Procedure of Business Takeover<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>Following\nis the step by step procedure of Business Takeover:<\/p>\n\n\n\n<ul><li><strong>Merchant Banker\u2019s Appointment (Regulation 3)<\/strong><\/li><\/ul>\n\n\n\n<p>An\nacquirer shall have to assign a category I Merchant Banker who is not associate\nof or acquirer\u2019s member group or the Target Company before making a public\nannouncement.<\/p>\n\n\n\n<ul><li><strong>Minimum Public Offer\n(Regulation 21)<\/strong><\/li><\/ul>\n\n\n\n<p>The\nacquirer has to make the public offer to obtain the Target Company&#8217;s share for\na minimum of 20% of the voting company, and it shouldn&#8217;t be less than 20%.<\/p>\n\n\n\n<ul><li><strong>Public Announcement (Regulation\n14)<\/strong><\/li><\/ul>\n\n\n\n<p>It\u2019s\nan announcement made by the acquirer or purchaser via a merchant banker\ndisclosing their intention to get a minimum of 20% of voting rights or shares\nof the Target Company. Public announcement shall be in English language and one\nin a vernacular language regular newspaper circulating in the state where the incorporated\noffice of the Target Company is situated and the stock exchange where the\nshares are most traded. The announcement should comprise the details regarding\nthe offer price, the number of shares to be obtained from upcoming plans, public,\npurpose, and details of the purchaser and offer period.<\/p>\n\n\n\n<ul><li><strong>Opening of Escrow Account\n(Regulation 28)<\/strong><\/li><\/ul>\n\n\n\n<p>The\npurchaser or acquirer will open an arrow account for 25% of the consideration\nof offer size less than Rs. 100 crores and 10% for the surplus of consideration\nmore than Rs. 100 crores with a scheduled bank.<\/p>\n\n\n\n<ul><li><strong>Filing of LO (Letter of Offer)\nwith SEBI (Regulation 18)<\/strong><\/li><\/ul>\n\n\n\n<p>Within\nfourteen days of the public announcement, a letter of offer should be filed\nwith SEBI. The following must be filed along with LO:<\/p>\n\n\n\n<ol><li>A soft and hard copy of the public announcement made along with the cutting of newspaper in which advertisement has been published;<\/li><li>Due Diligence Certificate;<\/li><li>A filing fee of or banker\u2019s cheque as prescribed.<\/li><\/ol>\n\n\n\n<p>The purchaser shall, within fourteen days of the public announcement, send a Letter of Offer draft copy to the Target Company and all stock exchanges. Letter of Offer shall be dispatched to shareholders within twenty days from submission to <strong>SEBI<\/strong><sup><a href=\"https:\/\/www.sebi.gov.in\/\" class=\"text-primary\"><strong>[1]<\/strong><\/a><\/sup>.<\/p>\n\n\n\n<ul><li><strong>Minimum Offer Price (Regulation\n20)<\/strong><\/li><\/ul>\n\n\n\n<p>Letter\nof Offer should comprise the minimum offer price. At the same time,\nunderstanding the minimum offer price, the following shall be considered.<\/p>\n\n\n\n<ol><li>The highest cost paid by the acquirer for the acquisition of shares in a\u00a0 public or right or preferential issue during twenty-six weeks prior to the announcement, whichever is high;<\/li><li>In the case of Target Company\u2019s shares are not frequently traded book value EPS, return on total worth, etc. to be considered;<\/li><li>Negotiated price between shareholders &amp; acquirer of the Target Company;<\/li><li>In the case of Target Company&#8217;s shares, the company are commonly traded the average weekly price during twenty-six weeks.<\/li><\/ol>\n\n\n\n<ul><li><strong>Acquirer\u2019s Other Obligations (Regulation 22)<\/strong><\/li><\/ul>\n\n\n\n<p>A\npublic announcement will be made only when the purchaser is liable for\nexecuting the offer. At the time of offer, the person or acquirer acting in\nconcert will be eligible to be appointed on the Board of the Target Company.<\/p>\n\n\n\n<p><strong><em>The\nobligation of the Target Board Co.\/Merchant Banker (Regulation 23 &amp; 24)<\/em><\/strong><\/p>\n\n\n\n<p>After\nthe public announcement or offer, the target company&#8217;s board, unless consented\nto by the members at a common body meeting, shall not transfer, sell, or\ndispose of the company&#8217;s assets or its subsidiaries or permit any unissued\nsecurities or enter into any material contracts. The Merchant Banker will have\nto send a final report to SEBI within forty-five days from the closure date of\nthe offer.<\/p>\n\n\n\n<p><strong><em>Withdrawal\nof Acceptance or Offer (Regulation 27)<\/em><\/strong><\/p>\n\n\n\n<p>The\nshareholders shall have the alternative to withdraw acceptance given by them up\nto three working days prior to the closure date of the offer. A purchaser or\nacquirer shall have no choice to withdraw a public offer made except under the\nfollowing situations:<\/p>\n\n\n\n<ul><li>Legal consents required have\nbeen rejected;<\/li><li>The single acquirer being a\nnatural person has demised;<\/li><li>Such situations as in the view\nof the SRBI Board merit withdrawal.<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Conclusion\"><\/span>Conclusion<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>Business Takeover can be of any type, whether Hostile Business Takeover, Friendly Takeover, or Bailout Takeover.
