\u201cSection 8 Company\u201d means an NPO (Non Profit Organization) which aims to\npromote Charitable\nPurpose, Arts, Education, Protection of Environment, Sports, Research, Science,\nReligion and Social Welfare, etc.<\/p>\n\n\n\n<p>Further, the income generated by\nan NPO is not eligible to be utilized for paying out \u201cdividends\u201d to the member\nor shareholders of the company. Moreover, the same will be used only for the\npurpose of promoting charitable objectives. <\/p>\n\n\n\n<p>Furthermore, for incorporating a\nsection 8 company, the applicant needs to obtain a Certificate of Registration (COR)\nfrom the central government and are responsible for adhering to the rules\nprescribed by the government as well.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Concept_of_Private_Limited_Company\"><\/span>Concept of Private Limited Company<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>The term \u201cPrivate Limited Company\u201d means a business\nstructure, which is privately owned by a group of people termed as\nShareholders. &nbsp;Further, this structure is\nchosen by all the start-ups and the ventures with high growth potential. <\/p>\n\n\n\n<p>Moreover, section 2 (68) of the Companies Act 2013\ndefines the term Private Limited Company. <\/p>\n\n\n\n<p>Also, as per the Companies (Amendment) Act 2015, there\nis no need to have a minimum paid up capital for obtaining Private Limited Company\nRegistration. <\/p>\n\n\n\n<p>Further, for the registration of a Private Limited\nCompany, a minimum of 2 members are required. However, the maximum limit for\nthe same is 200. <\/p>\n\n\n\n<p>Moreover, the term \u201cmember\u201d does not comprise of a former and present employee. Lastly, in this business format, the Articles of Association (AOA) restricts the shareholders or members of the company from transferring their shares.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Regulatory_Framework_for_the_Process_of_Conversion\"><\/span>Regulatory Framework for the Process of Conversion <span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<div class=\"wp-block-image\"><figure class=\"aligncenter is-resized\"><img decoding=\"async\" loading=\"lazy\" src=\"https:\/\/swaritadvisors.com\/learning\/wp-content\/uploads\/2020\/10\/Regulatory-Framework-for-the-Process-of-Conversion.png\" alt=\"Company Conversion process\" class=\"wp-image-13602\" width=\"530\" height=\"230\" srcset=\"https:\/\/swaritadvisors.com\/learning\/wp-content\/uploads\/2020\/10\/Regulatory-Framework-for-the-Process-of-Conversion.png 1000w, https:\/\/swaritadvisors.com\/learning\/wp-content\/uploads\/2020\/10\/Regulatory-Framework-for-the-Process-of-Conversion-300x131.png 300w, https:\/\/swaritadvisors.com\/learning\/wp-content\/uploads\/2020\/10\/Regulatory-Framework-for-the-Process-of-Conversion-768x334.png 768w\" sizes=\"(max-width: 530px) 100vw, 530px\" \/><\/figure><\/div>\n\n\n\n<p>The legal provisions concerning the Process to\nconvert a Section 8 Company into Private Company are as follows:<\/p>\n\n\n\n<ol><li>Section 8&nbsp;of the Companies Act 2013;<\/li><li>Rule 21&nbsp;of the Companies Incorporation Rules 2020;<\/li><li>Rule 22&nbsp;of the Companies Incorporation Rules 2020;<\/li><li>Rule 23&nbsp;of the Companies Incorporation Rules 2020;<\/li><\/ol>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Conditions_for_the_Process_of_Conversion\"><\/span>Conditions for the Process of Conversion\n<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>The <em>conditions required<\/em> to <em>convert a Section 8 Company into Private Company are as follows:<\/em><\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Rule_21_of_the_Companies_Incorporation_Rules_2020\"><\/span>Rule 21 of the Companies (Incorporation) Rules 2020<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<ol><li>The company needs to pass an SR (Special Resolution) in its GM (General Meeting) to convert a Section 8 company into Private Company;<\/li><li>Directors need to attach the Notice for General Meeting to the Explanatory Statement;<\/li><li>The Explanatory Statement must include the particulars as follows:<\/li><li>Date of Incorporation of the Company;<\/li><li>Objectives of the Company specified in the MOA (Memorandum of Articles);<\/li><li>Reasons for not achieving the current objectives;<\/li><li>In case, the directors decide to alter the objectives of the company, then the Altered AOA, together with the Reasons for Alteration;<\/li><li>&nbsp;Impact of Conversion on the Shareholders;<\/li><li>Details of the benefits that will accrue to the members after conversion;<\/li><li>A complete list of the concessions and privileges enjoyed by the Section 8 Company;<\/li><li>All the details regarding the Market Price of the property acquired;<\/li><li>All the details regarding the Concessional Rates offered by the company for such property;<\/li><li>Details concerning the bequests and donations received by the company;<\/li><li>The certified copy of the SR (Special Resolution) passed must be filed with the ROC (Registrar of Companies);<\/li><li>The certified copy of the Notice for the General Meetings must be filed with the ROC;<\/li><li>An application must be filed with the RD (Regional Director), together with the attachments as follows:<\/li><li>A Certified Copy of the SR passed by the company in its General Meeting;<\/li><li>A Certified copy of the Notice for the General Meetings;<\/li><li>The proof of serving notice must be sent to the authorities as follows:<\/li><li>Charity Commissioner;<\/li><li>Income Tax Officer who is having jurisdiction over the company;<\/li><li>Chief Commissioner of Income Tax who is having jurisdiction over the company;<\/li><li>Central or State Department in whose jurisdiction the said company was operating; <\/li><li>The copy of the application must be filed to both the Regional Director and Registrar of Companies.<\/li><\/ol>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Rule_22_of_the_Companies_Incorporation_Rules_2020\"><\/span>Rule 22 of the Companies (Incorporation) Rules 2020<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<ol><li>The directors of the company must publish the notice to convert a section 8 company into Private Company in at least 2 newspapers. Out of which one should be in Vernacular Newspaper, and the other one should be in English Newspaper;<\/li><li>The directors of the company need to file the financial statements with the Regional Director before making the application for conversion;<\/li><li>The company needs to submit a declaration before the process of conversion, stating that the profits of section 8 company are neither used nor distributed among the members of the company;<\/li><li>The directors of the company need to file a certificate with the ROC, certifying that provisions of conversion are duly complied with. Further, such a certificate will only be given by either of the following:<\/li><li>Practising Chartered Accountant;<\/li><li>Practising Company Secretary; or<\/li><li>Certified Cost and Management Accountant;<\/li><li>The company needs to file the representations received from any authority with the Regional Director within a period of 60 days, starting from the date of receiving the notice;<\/li><li>The directors need to attach the proof of service with the application made to the RD (Regional Director);<\/li><li>The RD can ask the applicant to obtain approval from the particular authority for the process of conversion;<\/li><li>The applicant needs to acquire a report from the ROC (Registrar of Companies);<\/li><li>After obtaining approval from the <a href=\"https:\/\/www.mca.gov.in\/content\/mca\/global\/en\/contact-us\/rd.html\"><strong>Regional Director<\/strong><\/a> (RD), the company must hold a GM (General Meeting) for allowing the alteration of MOA and AOA of the company;<\/li><li>After holding the general meeting, the directors of the company need to file the particulars as follows with the ROC:<\/li><li>A true and certified copy of the approval received from the RD within a period of 30 days. Further, such approval will be filed in form INC 20, together with the prescribed fees;<\/li><li>Altered MOA (Memorandum of Association);<\/li><li>Altered AOA (Articles of Association);<\/li><li>A Declaration stating that the conditioned imposed by the RD are duly complied with;<\/li><\/ol>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Procedure_to_Convert_a_Section_8_Company_into_Private_Company\"><\/span>Procedure to Convert a Section 8\nCompany into Private Company<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<div class=\"ez-toc-section\" id=\"Pass_a_Special_Resolution\"><\/span>Pass a Special Resolution<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p><em>According\nto Rule 21 of the Companies (Incorporation) Rules 2020,<\/em>&nbsp;a Company must pass a Special\nResolution (SR) in the General Meeting of its shareholders for the approval of\nthe process of Conversion. <\/p>\n\n\n\n<p>Further, a true and certified copy\nof the SR, together with the Explanatory Statement needs to be filed with the\nRegistrar of Companies (RoC). <\/p>\n\n\n\n<p>Also, a copy of the Special\nResolution and the Notice to hold General Meeting must be filed in&nbsp;MCA <em>Form\nMGT 14 within a period of 30 days, starting from the day of the passing of the\nSpecial Resolution.<\/em><\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"File_an_Application_to_Regional_Director\"><\/span>File an Application to Regional Director<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p><em>According\nto Rule 21 of the Companies (Incorporation) Rules 2020<\/em><em>,\n<\/em>a Company needs to\nfile an application with the RD (Regional Director) in<em>Form INC 18, together with the fee\nprescribed.&nbsp;<\/em><\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Advertisement_in_Newspaper\"><\/span>Advertisement in Newspaper<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>After\nfurnishing an application to the Regional Director,&nbsp;<em>the\ndirectors of the Company needs to publish a notice for the conversion of\nsection 8 company into a private limited company in the newspaper. <\/em><\/p>\n\n\n\n<p><em>Further,<\/em>\nthe said publication must be made <em>within a period of one week,\nstarting from&nbsp;<\/em>the date of furnishing the application to the\nRegional Director.<\/p>\n\n\n\n<p>Also,\na copy of the Notice published must be sent to the Regional Director\nin&nbsp;MCA <em>Form INC 19.<\/em><\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"New_Certificate_of_Incorporation\"><\/span>New Certificate of Incorporation<span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>On the receipt of the documents required,\nthe Registrar of Companies (ROC) will&nbsp;<em>grant a new Certificate of\nIncorporation to the applicant company<\/em><em>. <\/em><\/p>\n\n\n\n<p>Further, after the revocation of\nthe license of Section 8 Company, the said entity can apply for the Conversion\nof its name and status with the Registrar of Companies in&nbsp;MCA <em>Form\nINC 20<\/em><em>.<\/em><\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Effects_of_the_Process_of_Conversion\"><\/span>Effects of the Process of Conversion <span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>The effects of the process of conversion are as\nfollows:<\/p>\n\n\n\n<ol><li>After the\nprocess of conversion, the entity cannot claim exemptions and privileges which\nwere available to section 8 company under the companies act 2013;<\/li><li>In case, before\nthe process of conversion, the section 8 company has bought an Immovable\nProperty at a price lower than the prevailing market rates, then the newly\nincorporated company will need to pay the difference to the government;<\/li><li>If in case the\ncompany is left with some accumulated profits and unutilized income, the same\nwill be used for setting off the outstanding dues to the creditors and\nsuppliers;<\/li><li>After the\nsettlement of each due, the amount left will be transferred to the IEPF\n(Investor Education and Protection Fund) within a period of 30 days, starting\nfrom the date of conversion.<\/li><\/ol>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Conclusion\"><\/span>Conclusion<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>In a nutshell, the Companies Act\n2013 provides for the process to convert a Section 8 Company into a Private\nCompany. <\/p>\n\n\n\n<p>Further, the main reason for conversion is that the companies are not able to achieve the desired object within the prevailing structure of the Company.
