NBFCs are not permitted to start or carry on the business of a non-banking financial institution without:<\/p>\n\n\n\n<ul><li>Acquiring a certificate of registration from the Reserve Bank of India, and<\/li><li>Having a Net Owned Funds (NOF) of Rs. 2 crores.<\/li><\/ul>\n\n\n\n<p>Basically, an NBFC is a company registered under the <strong>Companies Act, 2013<\/strong><sup><a class=\"text-primary\" href=\"https:\/\/en.wikipedia.org\/wiki\/Companies_Act_2013\"><strong>[1]<\/strong><\/a><\/sup><strong> <\/strong>and involved in the business of:<\/p>\n\n\n\n<ul><li>Loans and advances,<\/li><li>Hire-purchase,<\/li><li>Chit business,<\/li><li>Leasing,<\/li><li>Acquisition of shares or stocks or bonds or debentures or securities issued by Government or local authority, etc.<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"What_are_the_conditions_for_getting_an_NBFC_license_in_India\"><\/span>What are the conditions for getting an NBFC license in India?<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>A company enrolled under the Companies Act, 2013 and envious of starting the business of non-banking financial institution as defined under Section 45 I (a) of the RBI Act, 1934 must comply with the following:<\/p>\n\n\n\n<ul><li>It must be a company enrolled under Section 3 of the Companies Act, 2013.<\/li><li>It must hold a minimum net owned fund of Rs. 200 lakh or 2 crores.<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Documents_required_for_obtaining_NBFC_License_in_India\"><\/span><strong>Documents required for obtaining NBFC License in <\/strong>India<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>There are certain documents required for obtaining an&nbsp;NBFC license in India. They are as under:<\/p>\n\n\n\n<ul><li>KYC of all the directors and shareholders of the applicant company;<\/li><li>A copy of the Certificate of Incorporation;<\/li><li>A certified copy of the Memorandum of Association and Articles of Association;<\/li><li>Bankers report concerned with the no lien remark on a fixed report of Rs. 2 crores;<\/li><li>Credit report of all the directors and shareholders;<\/li><li>A detailed action plan of the proposed NBFC along with the structure of the organization;<\/li><li>A NOF certificate of all the directors and shareholders;<\/li><li>The highest qualification certificate of every director of an applicant company;<\/li><li>The financial statements of the company intending to register as NBFC along with the director\u2019s report and auditor\u2019s report.<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"How_to_apply_for_NBFC_license_in_India_with_the_RBI\"><\/span><strong>How to apply for NBFC license in India with the RBI?<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>To Acquire NBFC License in India, the applicant company can apply online, and hence, submit a physical copy of the application. Besides, it also needs to submit the required documents to the Regional Office of the Reserve Bank of India.<\/p>\n\n\n\n<p><strong>Step 1:<\/strong> The applicant needs to submit the application online by accessing RBI\u2019s secured website.<\/p>\n\n\n\n<p><strong>Step 2:<\/strong> Here, the applicant company doesn\u2019t require to log on to the COSMOS application. Hence, user ids aren&#8217;t required. Then, the applicant needs to click on \u201cCLICK\u201d for <strong><a href=\"https:\/\/swaritadvisors.com\/private-limited-company-registration\" class=\"text-primary\">Private Company Registration<\/a><\/strong> on the login page of the COSMOS Application.<\/p>\n\n\n\n<p><strong>Step 3: <\/strong>Then, a&nbsp;window displaying the Excel application form available for download will appear. Secondly, the applicant can download the suitable application form which is NBFC or SC\/RC from the COSMOS website.<\/p>\n\n\n\n<p><strong>Step 4:<\/strong> The applicant company is advised to show the correct name of the Regional Office in the field \u201cC-8\u201d of the \u201cAnnex-I identification Particulars\u201d in the Excel application form.<\/p>\n\n\n\n<p><strong>Step 5:<\/strong> Then, the applicant would get a Company Application Reference Number for the CoR (Company of Registrar) application filed online.<\/p>\n\n\n\n<p><strong>Step 6:<\/strong> Thereafter, the company will submit the hard copy of the application form (intimating the online Company Application Reference Number, along with the supporting documents, to the concerned Regional Office.<\/p>\n\n\n\n<p><strong>Step 7:<\/strong> Once the above steps are served properly, the applicant company can monitor the status of the application on the COSMOS website by keying the company application reference number.<\/p>\n\n\n\n<p>Generally, the issuance of NBFC license in India takes 3 to 4 months. The aforesaid holds true when your documents are accurate and valid. Deposit accepting NBFCs<span class=\"ez-toc-section-end\"><\/span><\/h4>\n\n\n\n<p>NBFC which accepts deposits must possess minimum investment grade credit rating issued by an approved credit rating agency for the deposit collection. Loan Company (LC): <\/strong><span class=\"ez-toc-section-end\"><\/span><\/h4>\n\n\n\n<p>It&#8217;s a financial institution carrying on as its chief business of providing finance whether by making loans or advances or otherwise for any activity other than its own. Besides, the company doesn\u2019t constitute an Asset Finance Company.<\/p>\n\n\n\n<h4 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"4_Infrastructure_Finance_Company_IFC\"><\/span><strong>4. Infrastructure Finance Company (IFC):<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h4>\n\n\n\n<p><strong>IFC is a kind of NBFC which-<\/strong><\/p>\n\n\n\n<ul><li style=\"text-align: left;\">Deploys a minimum of 75% of its total assets in infrastructure loans,<\/li><li style=\"text-align: left;\">Possesses a minimum Net Owned Funds of Rs. 300 Crores,<\/li><li>Holds a minimum credit rating of \u2018A \u2018or equivalent, and<\/li><li style=\"text-align: left;\">A 15% CRAR (Capital to Risk-Weighted Assets Ratio).<\/li><\/ul>\n\n\n\n<h4 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"5_Systemically_Important_Core_Investment_Company_CIC-ND-SI\"><\/span><strong>5. Systemically Important Core Investment Company (CIC-ND-SI):<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h4>\n\n\n\n<p>It&#8217;s an NBFC which carries the business of acquisition of shares and securities while satisfying the following conditions:-<\/p>\n\n\n\n<ul><li>It possesses not less than 90% of its total assets as an investment in equity shares, debt or loans, preference shares in group companies;<\/li><li>Its investments in the equity shares (including instruments imperatively convertible into equity shares within a period not surpassing 10 years from the date of issue) in group companies constitutes at least 60% of its total assets;<\/li><li>It doesn&#8217;t trade in its investments in shares, debt or loans in group companies except through block sale for dilution or disinvestment;<\/li><li>It doesn&#8217;t carry on any other financial activity referred to in Section 45I(c) and 45I(f) of the RBI act, 1934 except investment in bank deposits, money market instruments, government securities, loans to and investments in debt issuances of group companies or guarantees issued in favour of group companies.<\/li><li>Its asset size is Rs.100 crores or high, and<\/li><li>It takes public funds.<\/li><\/ul>\n\n\n\n<p><strong>6. Infrastructure Debt Fund: Non- Banking Financial Company (IDF-NBFC):&nbsp;<\/strong><\/p>\n\n\n\n<p>IDF-NBFC is an NBFC which facilitates the flow of long term debt into infrastructure projects. Moreover, it raises resources through issue of Rupee or Dollar-denominated bonds of minimum 5-year maturity. Only Infrastructure Finance Companies (IFC) have the authority to IDF-NBFCs.<\/p>\n\n\n\n<h4 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"7_Non-Banking_Financial_Company-Micro_Finance_Institution_NBFC-MFI\"><\/span><strong>7. Non-Banking Financial Company-Micro Finance Institution (NBFC-MFI)<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h4>\n\n\n\n<p>It&#8217;s a non-deposit taking NBFC with at least 85% of its assets in the nature of qualifying assets.
