Companies may have an administrative, branch, or corporate office in addition to a registered office. However, it is indispensable for the company to register its registered office with the <strong><a href=\"http:\/\/www.mca.gov.in\/\">MCA<\/a><\/strong> (Ministry of Corporate Affairs).\u00a0 Whereas, the company can open other offices at different locations without intimating to the ROC.<\/p>\n\n\n\n<p>The registered office also determines the\ndomicile or state of a company\u2019s incorporation. The location or state of the\nregistered office ascertains the Registrar to which the company can file an application\nfor company registration. In case, an entrepreneur wants to change the company\naddress of the registered office, then he\/she must notify the Registrar of\nCompany within 15 days. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Modes_to_change_the_company_address\"><\/span>Modes to change the company address<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>Companies registered under the Companies Act, 2013, or registered <strong><a href=\"https:\/\/swaritadvisors.com\/limited-liability-partnership-registration\">LLPs<\/a><\/strong> under the Limited Liability Partnership Act can change their registered office address without any hindrance. The registered office address of a company must always have to be efficiently intimated to the ROC to avoid any delays in the communication. Therefore, it is important that all information in regards to the registered office address must be dealt with promptly. <\/p>\n\n\n\n<p><strong>Following are the modes to change a company\u2019s office address:<\/strong><\/p>\n\n\n\n<ul><li>When the company changes its registered\noffice from one state to another state;<\/li><li>When the office changes within\nthe limits of the city;<\/li><li>Change in the company\u2019s office from\none city to another, yet within the same state. <\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Procedure_to_be_followed_for_changing_the_company_address\"><\/span>Procedure to be followed for changing the company address <span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p><strong>Section 12 and Section 13 of the Companies Act, 2013<\/strong> &amp; Companies (Incorporation) <strong>Rules, 2014<\/strong> prescribes the procedure regarding incorporating and shifting of a registered company\u2019s office under different circumstances. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Shifting_of_registered_office_from_one_state_to_another_state\"><\/span>Shifting of registered office from one state to another\nstate<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<ul><li>The first thing is to prepare or draft a Memorandum of Association and Articles of Association of your company.<\/li><li>The next step is to call a Board Meeting of Directors as per the standards inscribed by ICSI (SS-1) and issue a notice duly signed by the Directors for holding an Extraordinary General Meeting.<\/li><li>Now convene an EGM of Shareholders and pass a Special Resolution to change the company address in <strong>Memorandum of Association<\/strong>. The Special Resolution is passed when more than 75% of members vote in favour of the decision.<\/li><li>Thereon, you need to file a certified copy of the Special Resolution in form MEG-14 along with the prescribed fee to the ROC within 30 days of the passing of the Resolution.<\/li><li>To seek approval for modifying MoA (relocation of address), you have to <strong>file an application in form INC-23<\/strong> with the Federal Government. Submit these set of documents with your application:<ul><li>Copy of amended MoA and AoA of the company;<\/li><li>Copy of the minutes of the EGM (proof of voting);<\/li><li>Special Resolution passed by the members;<\/li><li>Copy of Board Resolution or power of attorney for the person who will appear in the hearings;<\/li><li>Information about debenture holders &amp; creditors of the company such as an address, amount due, nature of the debt, etc;<\/li><li>Authority Letter copy and<\/li><li>An\u00a0affidavit or declaration\u00a0from the Directors that no employee shall be retrenched due to the change of company registered office.<\/li><\/ul><\/li><\/ul>\n\n\n\n<p><strong><em>You can send the application either to the Chief Secretary or Registrar of the State in which your office is situated.<\/em><\/strong><\/p>\n\n\n\n<ul><li>Publicize your application in\ntwo newspapers, indicating the proposed change 30 days prior to the\nhearing.&nbsp; Ensure that one amongst the two\nnewspapers is in the English language and another in the national language of\nyour state.<\/li><li>Send a notice of your\napplication to all the debenture holder, creditors, Registrar, Chief Secretary,\nor any relevant authority which governs your company under a particular law such\nas SEBI. <\/li><li>If someone raises an objection\nthat may get affected by the proposed change, send a copy of the objection raised\nto the Federal Government before the date of hearing.<\/li><li>If no objection is received,\nthe Regional Director will enforce the orders without hearing. RD may confirm\nthe change by passing an order with or without any terms &amp; conditions.<\/li><li>Once the order of change in\naddress is passed, you have to file form INC-22 to the Registrar of Companies\nalong with the necessary documents. Thereby, to make the order effective file\nform INC-28 within 30 days to the RoC.<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Affix_these_list_of_documents_with_form_INC-22\"><\/span>Affix these list of documents with form INC-22<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<ul><li>List of Directors and Shareholders of your company;<\/li><li>List of creditors duly certified by your company\u2019s auditors;<\/li><li>Published copy of the public notice;<\/li><li>Copy of MoA, AoA and Certificate of Incorporation;<\/li><li>Latest audited financial statements;<\/li><li><strong><a href=\"https:\/\/swaritadvisors.com\/residential-rental-agreement\">Rent Agreement<\/a><\/strong> in the name of new proposed company address<\/li><li>Proof of the company address such as Utility bill or Electricity bill<\/li><li>No Objection Certificate from the owner of the premises. <\/li><\/ul>\n\n\n\n<div class=\"shadow4\"><strong>Note-\n<\/strong>The bills must have the name of the company along\nwith its new address that shall be used as the registered address and it should\nbe not more than two months old.<\/div>\n\n\n\n<p>Change of the registered office from one\nstate to another is not permitted in case any inspection is pending or\ninitiated against your company under the Companies Act, 2013.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Change_of_registered_office_within_the_limits_of_the_city\"><\/span>Change of registered office within the limits of the city<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>If the company relocates its registered office within the local limits of a city or town, then there is no need to get the permission of Shareholders or any other authority.
